Terms and Conditions — Nupty

Last updated: 2026-08-08

Provider: DBRSZ-2022 Kft. (Hungary), e-mail: [email protected] (the "Provider", "we"). Our registered seat and full company details (company registry and tax numbers) are set out in the Imprint.

These Terms govern the use of the Nupty web application (the "Service"). The Hungarian-language version (ÁSZF) and this English version are equally binding; for consumers habitually resident in Hungary, the Hungarian version prevails in case of discrepancy; for all other users, the English version prevails.

PART A — GLOBAL CORE

1. Definitions

  • "Organizer": the account holder who sets up a wedding workspace.
  • "Guest": a person whose details an Organizer enters, or who responds via an RSVP survey link. Guests are not parties to these Terms.
  • "User Content": all data entered into the Service by an Organizer or Guest (guest lists, contact details, dietary information, vendor records, budgets, messages, timeline entries).
  • "Premium": the paid feature tier described in Section 7.

2. What the Service is — and what it is not

2.1 The Service is a self-service software tool for organizing a wedding: timelines, guest lists, RSVP collection, vendor records, budgets and related messaging.

2.2 The Provider is not a wedding planner, event organizer, travel agent, vendor, broker, insurer or advisor of any kind. We provide software; you provide the wedding. Without limiting the foregoing, the Provider has no responsibility for, and makes no promises regarding: (a) the performance, quality, availability, pricing or conduct of any vendor or venue recorded in the Service; (b) whether any guest receives, opens or answers any invitation or message; (c) the accuracy of any data entered by you or your Guests; (d) budgets, cost estimates or financial decisions made using the Service; (e) the occurrence, quality or outcome of any event, including the wedding itself.

2.3 Suggestions offered by the Service (suggested timeline moments, checklists, estimates) are generic informational content, not advice. You remain solely responsible for verifying dates, deadlines, legal requirements (including marriage formalities), bookings and payments with the competent authorities and your vendors.

3. Eligibility and accounts

3.1 You must be at least 18 years old and able to enter binding contracts.

3.2 Accounts are created by registering with an e-mail address and a password. You are responsible for the security of your login credentials and for all activity under your account.

3.3 One workspace serves one wedding.

4. User Content: your data, your responsibility

4.1 You own your User Content. You grant the Provider a non-exclusive, worldwide, royalty-free licence to host, process, transmit, display and back up User Content solely to operate, secure and improve the Service and as instructed by you (e.g., sending an invitation you compose). This licence ends when the User Content is deleted pursuant to these Terms and our Privacy Notice.

4.2 Organizer warranties. By entering or importing any data, you represent and warrant that: (a) you are lawfully entitled to share every Guest's and third party's personal data you enter (name, contact details, dietary and accommodation needs and any other data), on the basis of your personal relationship with them and, where required, their consent; (b) the data you enter is accurate and kept up to date by you; (c) your use of the messaging features complies with Section 6; (d) no User Content infringes third-party rights or applicable law.

4.3 Indemnification. You will indemnify and hold harmless the Provider, its officers and employees from and against all claims, damages, fines and reasonable costs (including legal fees) brought by any Guest or other third party arising out of (i) your breach of the warranties in Section 4.2, (ii) User Content, or (iii) your use of the Service in violation of these Terms — except to the extent caused by the Provider's own intentional misconduct or gross negligence.

4.4 Backups and your own copies. You can request a copy of your data by emailing [email protected]; we respond within 30 days. You are responsible for maintaining your own copies of information you cannot afford to lose (contracts, contact lists, the run sheet). We are not liable for loss of data you could have kept your own copy of, except where such loss results from our intentional misconduct or gross negligence.

5. Acceptable use

You must not use the Service to: send unsolicited bulk messages (spam) or messages unrelated to the wedding administered in your workspace; harass any person; enter data about persons with whom you have no genuine personal or wedding-related connection; upload unlawful content or malware; probe, overload or reverse-engineer the Service; resell access without our written consent. We may suspend or terminate accounts violating this Section (Section 11).

6. Messaging features

6.1 The Service can dispatch messages over various communication channels (such as e-mail, SMS or chat applications). Messages are transmitted through communication infrastructure selected by the Provider from time to time — which may be third-party services or the Provider's own systems — and the Provider may change channels, technologies and providers at any time without notice. Delivery is not guaranteed and depends on carriers, spam filters, the policies of the respective channel operators, and the accuracy of addresses and numbers you entered. A missed, delayed, filtered or undelivered message is not a defect of the Service and the Provider is not liable for its consequences (including a guest not being invited, reminded or counted).

6.2 You confirm that recipients of messages you trigger have a personal relationship with you and would reasonably expect wedding-related communication from you. Reminders over chat channels are sent only to Guests who opted in via the RSVP survey.

6.3 Free-tier message allowances and Premium allowances are metered across all channels. We may impose reasonable technical sending limits to protect deliverability for all users.

7. Premium, prices and payment

7.1 Premium unlocks additional features and higher usage allowances beyond the free tier. The exact contents of Premium may evolve over time; the description displayed in the Service at the moment of your purchase governs what you have bought, and Section 10.2 applies to any later material reduction. Two purchase options are offered: (a) monthly subscription, which auto-renews monthly and can be cancelled any time, effective at the end of the current billing period; and (b) one-time unlock, a single payment that unlocks Premium for a fixed access period (currently 18 months), after which Premium lapses.

7.2 Purchases are processed by our merchant of record, Paddle, which acts as the seller of record for the transaction: Paddle's checkout terms apply to the purchase, Paddle handles applicable VAT and sales taxes, issues the receipt/invoice, and processes refunds in accordance with its policies and applicable law. We never see or store card data. Prices are displayed before purchase in your checkout currency including applicable taxes.

7.3 Statutory bookkeeping obligations of the Provider are fulfilled in accordance with Hungarian law.

7.4 Failure of payment may lead to Premium features reverting to the free tier after notice. Your data is not deleted for non-payment; retention follows the Privacy Notice.

8. Intellectual property

The Service, its software, design, texts, graphics and trademarks are owned by the Provider or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for planning your own wedding(s). Feedback you send us may be used without restriction or compensation.

9. Third-party services

Certain functions of the Service — including purchases (Paddle, as merchant of record), message delivery, hosting and similar supporting functions — are or may be provided by third parties under their own terms and privacy policies. The Provider may engage, replace or dispense with such providers, or perform any of these functions itself, at any time without notice. The Provider is not responsible for third-party services, their availability or their acts and omissions. The current categories of providers processing personal data are described in the Privacy Notice.

10. Availability, changes, beta features

10.1 The Service is provided as a continuously developed online service. We aim for high availability but do not warrant uninterrupted or error-free operation. Maintenance, updates and outages may occur.

10.2 We may modify features (including free-tier limits) for legitimate reasons (technical, legal, security, business development). If a change materially reduces functionality you have paid for, we will notify you in advance and you may terminate and receive a pro-rata refund of prepaid, unused fees — your sole remedy for such change, except where mandatory law grants more.

10.3 Features marked beta/experimental are provided without any commitment.

11. Term, suspension, termination

11.1 The contract is concluded electronically in English or Hungarian when you create an account and accept these Terms. The contract is not filed (nem kerül iktatásra); no code of conduct applies.

11.2 To delete your account and data, email [email protected]; we act within 30 days. We may suspend or terminate your access with immediate effect for material breach (in particular Sections 4.2, 5, 6), fraud, or legal compulsion; otherwise we may terminate with 30 days' notice.

11.3 Upon termination, you can request a copy of your data by emailing [email protected]; we respond within 30 days. Data is then deleted under the retention rules of the Privacy Notice.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND ALL IMPLIED WARRANTIES (MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY) ARE DISCLAIMED.

13. Limitation of liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE FEES YOU PAID TO THE PROVIDER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13.2 TO THE SAME EXTENT, THE PROVIDER IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGE, LOSS OF PROFIT, LOSS OF DATA THAT COULD HAVE BEEN EXPORTED, OR NON-MATERIAL DAMAGE CONNECTED WITH THE WEDDING EVENT ITSELF (including emotional distress caused by vendor failures, guest attendance, or event outcomes).

13.3 Mandatory rights. Nothing in these Terms excludes or limits any liability or right that cannot be excluded or limited under applicable law — including liability for intentional misconduct, gross negligence, or death or personal injury, and the non-waivable rights of consumers and data subjects. This Section 13.3 applies to these Terms as a whole.

14. Force majeure

Neither party is liable for failure caused by events beyond its reasonable control (natural disasters, war, epidemics, internet or utility failures, acts of authorities, third-party platform shutdowns).

15. Changes to these Terms

We may amend these Terms for legitimate reasons. Material changes will be notified at least 15 days in advance in-app or by e-mail; if you do not accept them, you may terminate before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law and forum

16.1 These Terms are governed by Hungarian law, excluding its conflict-of-law rules and the UN CISG.

16.2 Disputes are subject to the ordinary courts of Hungary, except that: (a) consumers habitually resident in the EU or UK may also bring proceedings in, and may only be sued in, the courts of their habitual residence, and enjoy the mandatory consumer protections of that country (Rome I Art. 6; Brussels Ia); (b) for users in the United States, Part C applies.

17. Miscellaneous

Severability (an invalid clause does not affect the rest and is replaced by the closest valid rule); no assignment by you without consent (we may assign to a successor); entire agreement (these Terms + Privacy Notice + checkout terms); no waiver by inaction; Sections 4.3, 8, 12–14, 16 survive termination. Section 18 forms part of Part A.

18. Plans from AI assistants, the connector and API keys

18.1 You may bring a plan prepared by an AI assistant into the Service as a link, by pasting it, or, where offered, through the Nupty connector. Such a plan is written by the assistant, not by the Provider: check the preview before you save it, and untick or remove anything you do not want. Once saved, it is User Content, and Section 4.2 applies to it in full, including guest names an assistant suggested.

18.2 A plan you have not saved stays in your browser for up to 7 days and is not stored by the Provider. Saving adds it to your workspace in one step; a record of the claim is kept for 24 hours so that the same plan is not added twice. Details are in the Privacy Notice, Section 12.

18.3 The connector acts only on your own wedding plan, within the permissions you approved on its consent screen, and never on billing, payments or your account. You can revoke it at any time. Personal API keys (Settings) let you, or a tool you choose, read — or read and change — your wedding. You are responsible for keeping keys secret and for what is done with them until you revoke them. We may rate-limit, suspend or revoke a key or a connection that is abused or puts the Service or other users at risk (Section 5).

18.4 AI assistants are third-party services (Section 9). What you tell an assistant is governed by its provider's terms and privacy policy. The Provider is not responsible for an assistant's suggestions, their accuracy or completeness, or for what the assistant's provider does with your conversation.

PART B — EU / UK CONSUMER ANNEX

B.1 Statutory conformity. If you are a consumer in the EU, you have the conformity rights for digital services under Directive (EU) 2019/770 as implemented in your country (in Hungary: 373/2021. (VI. 30.) Korm. rendelet); in the UK, the Consumer Rights Act 2015. Nothing in Parts A or C limits these rights.

B.2 Right of withdrawal (14 days). You may withdraw from a Premium purchase within 14 days without giving reasons (using a model withdrawal form). At checkout you expressly request immediate performance and acknowledge that: for the one-time unlock, you lose the right of withdrawal once the Service has been fully made available; for the subscription, if you withdraw within 14 days you owe a proportionate amount for the period already provided. Withdrawal may be exercised toward us at [email protected] or through Paddle, our merchant of record.

B.3 Complaint handling (Hungary). Complaints may be sent to [email protected]; we respond within 30 days. If unresolved, consumers residing in Hungary may turn to the conciliation board (Békéltető Testület) competent for their residence — for our seat, the Budapesti Békéltető Testület — whose procedure we are obliged to cooperate with, and to the consumer-protection authority (fogyasztóvédelmi hatóság).

B.4 For UK consumers, references to EU law mean retained UK law equivalents; the UK courts' consumer jurisdiction is respected per B/16.2(a).

PART C — UNITED STATES ANNEX

Applies if you are habitually resident in the United States. In case of conflict with Parts A–B, this Part prevails for you, to the extent permitted by the law of your state.

C.1 Binding individual arbitration. Any dispute arising out of these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the state of your residence per AAA rules, in English. Judgment may be entered in any court of competent jurisdiction. Small-claims carve-out: either party may instead bring an individual claim in small-claims court. Opt-out: you may opt out of arbitration by e-mailing [email protected] within 30 days of account creation.

C.2 Class-action and jury waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. EACH PARTY WAIVES TRIAL BY JURY. If the class waiver is found unenforceable as to a claim, that claim (and only that claim) proceeds in court.

C.3 State-law savings. Some states do not allow certain warranty disclaimers or damage limitations; in such states, Sections 12–13 apply to the fullest extent permitted, and any non-waivable rights remain unaffected.

C.4 California notice (Cal. Civ. Code §1789.3). Complaints: Complaint Assistance Unit, Division of Consumer Services, California Department of Consumer Affairs — 1625 North Market Blvd., Suite N 112, Sacramento CA 95834; (800) 952-5210. Provider contact: [email protected].

C.5 Governing law for US users is Hungarian law to the extent permitted; mandatory consumer laws of your state remain applicable where they cannot be derogated from.
